Canyons Village Winter Ski Season Parking Pass Agreement

By checking the acknowledgement box and completing the purchase of a Canyons Village Winter Ski Season Parking Pass (the “Canyons Parking Pass”), the purchaser (the "Passholder") acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Canyons Village Winter Ski Season Parking Pass Agreement (the “Agreement”). The Passholder hereby purchases and receives from VR CPC Holdings, Inc. d/b/a Park City Mountain Resort (the "Company") a Canyons Parking Pass assigned by the Company for designated parking areas within the Canyons Village Parking Garage (the “Canyons Garage”) for the Winter 2026/2027 Ski season.

The Canyons Parking Pass grants a revocable license to park in the Canyons Garage only and does not create a leasehold interest, reserved parking space, or ownership rights in real property.

Passholder represents and acknowledges that it accepts the Canyons Garage in its current “as-is” condition. Passholder acknowledges that (i) Company makes no representations or warranties regarding the safety of the Canyons Garage or the use thereof, (ii) Company disclaims all liability for the health and safety of Passholder while using the Canyons Garage.

The Canyons Parking Pass allows access to Canyons Village Garage only and is not transferable to nor provides parking privileges in the Mountain Village Parking Garage.

Passholder is responsible for the security of any vehicle parked in Canyons Garage. Valuable items should be removed from the vehicle. Parking in the Canyons Garage is at Passholder’s sole risk, and the Company does not guarantee the safety or security of Passholder, Passholder’s guests, Passholder’s belongings, Passholder’s guests’ belongings or Passholder’s vehicle. Passholder ASSUMES ALL RISKS associated with Passholder’s use of the premises and agrees to release, defend and indemnify the Company, each of its affiliated entities, and their respective employees, officers, directors, owners, agents, insurance companies and assignees, and each of their successors-in-interest, from all losses, damages or liabilities in any way arising from Passholder’s use of the premises, including claims based on alleged or actual negligence or breach of any express or implied warranty.

Eligibility: To be eligible for a Canyons Parking Pass, the Passholder must possess and maintain an active Epic Pass that includes access to Park City Mountain for the applicable winter season. Purchase of a Canyons Parking Pass for any winter season does not guarantee the ability to purchase a pass for future winter seasons.

Reservation Requirement: To utilize a Canyons Parking Pass, a daily complimentary reservation is required to park in the Canyons Garage during the winter ski season when the vehicle will be parked between the hours of 8:00 a.m. and 12:00 p.m. A Canyons Parking Pass does not guarantee the availability of a parking space, and access may be restricted due to capacity limits, safety concerns, maintenance activities, weather conditions, operational requirements, or other circumstances determined by the Company. Each Canyons Parking Pass may maintain up to five (5) active reservations at any given time. Passholder must establish and maintain an account within the reservation platform.

Reservation System Availability: The Company does not guarantee uninterrupted availability of the reservation platform and shall not be liable for service interruptions, technical failures, internet outages, or system maintenance that may affect reservation availability or access.

No Show Policy: To minimize unused reservations, the Company may impose fees, penalties, restrictions, suspension, or revocation of reservation privileges for misuse or abuse of the reservation system. Such actions may include, but are not limited to, a $10 fee for each reservation that is neither used nor canceled in accordance with the Reservation Cancellation Policy.

Reservation Cancellation Policy: If a Passholder will not be using a reserved space, the reservation must be canceled in the reservation system no later than 8:00 a.m. on the day of the reservation. Failure to timely cancel a reservation and failure to use the reservation will result in a $10 fee, which will be charged to the credit card on file in the reservation system.

Changing a Reservation: A Passholder may change the license plate associated with a parking reservation until 9:00 a.m. on the day of the reservation. After 9:00 a.m., reservation modifications will not be permitted. If the vehicle associated with the reservation is not parked in the garage during the reservation period and the reservation is not otherwise canceled in accordance with the Reservation Cancellation Policy, the $10 no-show fee will apply.

License Plate Registration: Parking privileges will be verified through license plate recognition. Each Canyons Parking Pass may have up to two registered license plates. Only one vehicle per Canyons Parking Pass may be parked in the garage at a given time.

Parking Availability and Access: The Canyons Parking Pass does not guarantee a parking space in the Canyons Garage without a reservation. Admission to a full facility may be denied. The Company does sell daily parking products and does not reserve parking exclusively for Passholders. Passholder agrees to park where directed, follow traffic patterns and signage, and comply with staff instructions.

Conduct: Passholder shall be courteous and respectful to staff and other guests. Failure to do so may result in suspension or revocation of the Canyons Parking Pass without a refund in the Company’s sole discretion.

Pass Rate: $825.00

Payment/Refunds: Payment for the 2026/2027 Canyons Parking Pass must be made in full before any parking reservations may be made. Except as otherwise required by applicable law, all sales are final. No refunds, credits, transfers, or exchanges will be provided for any Canyons Parking Pass, for any reason, including, but without limitation, lack of use, pass suspension or revocation, or inability to secure reservations.

Overnight Parking: Parking facilities are intended for day use only. Vehicles left overnight (12:00 am to 7:00 am) or abandoned may be towed at the sole discretion of the garage manager and at the owner's sole expense and risk.

Vehicle Restrictions: The Canyons Parking Pass is valid only for passenger vehicles and is not valid for recreational vehicles (RVs), fifth-wheel trailers, campers, or towable trailers. The Canyons Garage has a maximum clearance height of 9 feet. No refund for a Canyons Parking Pass shall be issued if a vehicle exceeds the height restriction and is unable to access the Canyons Garage.

Illegal Activity and Prohibited Uses: Canyons Garage may be used only for lawful parking and access to resort facilities. The Passholder and all occupants of any vehicle using Canyons Parking Pass shall comply with all applicable federal, state, and local laws, regulations, and ordinances. Illegal activity of any kind is strictly prohibited, including but not limited to theft, vandalism, trespassing, disorderly conduct, possession or use of illegal drugs, unlawful possession of weapons, harassment, fraudulent use of the Canyons Parking Pass, or any conduct that threatens the safety, security, or enjoyment of the premises by others.

The Company reserves the right to deny access to, remove from, or prohibit any person or vehicle from the Canyons Garage for suspected unlawful activity, unsafe conduct, or violations of this Agreement. The Company may cooperate with law enforcement authorities and provide information, records, photographs, license plate information, surveillance footage, or other evidence as permitted by applicable law. Any violation of this section may result in immediate suspension or revocation of the Canyons Parking Pass without refund, towing of the vehicle at the owner's expense, and any other remedies available under this Agreement or applicable law.

Agreement Violations and Remedies: The Passholder agrees to comply with all terms and conditions of this Agreement and all rules, policies, and procedures established by the Company. Failure to comply with any provision of this Agreement, including but not limited to unauthorized transfer or resale of the Canyons Parking Pass, providing inaccurate vehicle registration information, misuse of parking reservations, parking outside designated areas, failure to follow parking staff instructions, damaging Company property, disruptive behavior, or fraudulent use of the Canyons Parking Pass, shall constitute a violation of this Agreement.

In the event of a violation of this Agreement, the Company may, at its sole discretion and to the extent permitted by applicable law:

• Issue a verbal or written warning to the Passholder;
• Suspend or restrict Passholder's access to the Canyons Garage;
• Require immediate correction of the violation and reimbursement for any resulting damages, repairs, or costs;
• Terminate this Agreement and revoke access to the Canyons Parking Pass and Canyons Garage; and/or
• Tow the Passholder’s vehicle at the Passholder's expense.

Termination of this Agreement due to a violation shall not entitle the Passholder to any refund of previously paid fees. The Company reserves all rights and remedies available under applicable law and under this Agreement. Failure by the Company to enforce any provision of this Agreement shall not be deemed a waiver of its right to enforce that provision or any other provision in the future.

This agreement shall be construed in accordance with and be governed by the substantive laws of the State of Utah, without reference to principles governing choice or conflicts of laws. Exclusive jurisdiction and venue for any legal action under this Agreement is the Third District Court, Salt Lake County, State of Utah.
